Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Ayubzai Business Solutions LLC, operating as Insurstein ("Insurstein," "we," "us," or "our"), governing your access to and use of the Insurstein platform at insurstein.com, the Insurstein mobile application, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization (an insurance agency, brokerage, or other business entity), you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

Insurstein is a cloud-based insurance agency management system ("AMS") that provides tools for managing clients, leads, policies, claims, commissions, renewals, documents, communications, and related insurance operations. The Service includes:

  • Client and lead management with sales pipeline tracking
  • Policy, claims, and commission management
  • AI-powered features including document parsing, meeting transcription with speaker diarization, and an AI assistant
  • Discovery forms for prospect data collection
  • Electronic signature capabilities
  • Built-in phone system and communications
  • Task management, activity logging, and team collaboration
  • A mobile application for iOS and Android
  • Reporting, compliance tools, and carrier management

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice when practicable.

3. Account Registration & Security

Eligibility: You must be at least 18 years old and legally capable of entering into a binding agreement. The Service is intended for use by licensed insurance professionals and their authorized staff.

Account Creation: You may create an account directly or be invited by an administrator within your organization. You agree to provide accurate, current, and complete information during registration.

Account Security: You are responsible for maintaining the confidentiality of your login credentials. You must immediately notify us at support@insurstein.com if you believe your account has been compromised. We are not liable for any loss or damage arising from unauthorized access to your account due to your failure to safeguard your credentials.

Password Requirements: Passwords must be at least 8 characters and include an uppercase letter, a number, and a special character.

Account Lockout: Accounts are temporarily locked after 5 failed login attempts within 30 minutes. Lockout duration is 15 minutes. This protects against brute-force attacks.

Rate Limiting: To protect the Service and all users, we enforce rate limits on authentication attempts, API requests, AI feature usage, email sending, file uploads, and other operations. Exceeding rate limits will result in temporary throttling of requests.

Multi-User Accounts: Agency administrators may invite team members with assigned roles (Admin, Producer, CSR, Viewer). The administrator is responsible for managing user access and permissions within their organization.

4. Subscription Plans & Billing

Plans: The Service is offered under tiered subscription plans (Starter, Professional, Agency) with varying feature sets, user limits, and pricing. Current pricing is available at insurstein.com/guide#pricing.

Free Trial: New accounts may receive a free trial period. At the end of the trial, you must subscribe to a paid plan to continue using the Service. If you do not subscribe, your account will be restricted to read-only access.

Billing: Subscriptions are billed monthly via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. Additional charges may apply for:

  • Additional team members beyond your plan's included seats ($35/month per seat)
  • AI assistant messages beyond the free tier ($0.09 per message)
  • AI document extraction credits (per-credit or pack pricing)
  • E-signature usage beyond included monthly allowance
  • Phone system usage (per-minute calling, number rental)
  • SMS messaging (per-segment pricing)

Payment Failure: If payment fails, you will receive a 3-day grace period to update your payment method. After 3 days, your account will be suspended (read-only mode). Access is restored immediately upon successful payment.

Cancellation: You may cancel your subscription at any time through Settings → Billing. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

5. Your Data & Ownership

Your Data: You retain full ownership of all data you enter into the Service, including client records, policy information, documents, communications, recordings, and all other business data ("Your Data"). We do not claim ownership of Your Data.

License to Us: You grant us a limited, non-exclusive license to use, process, store, and transmit Your Data solely to provide and improve the Service. This license terminates when you delete Your Data or close your account.

Data Isolation: Your Data is isolated from other organizations on the platform. Each agency's data is scoped by a unique agency identifier, and no other agency can access your data through the Service.

Data Export: You may export your data at any time. Upon account deletion, we will permanently delete Your Data within 30 days, except where retention is required by law.

Data Accuracy: You are responsible for the accuracy and completeness of the data you enter. We are not liable for business decisions made based on inaccurate data in the system.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to access another agency's data, bypass security controls, or exploit vulnerabilities
  • Upload malicious files, viruses, or code designed to disrupt the Service
  • Use the Service to send unsolicited bulk communications (spam)
  • Reverse-engineer, decompile, or attempt to derive the source code of the Service
  • Resell, sublicense, or redistribute access to the Service without our written consent
  • Use the AI features to generate content that is misleading, fraudulent, or violates applicable insurance regulations
  • Misrepresent your identity, licensing status, or authority to act on behalf of an agency
  • Interfere with or disrupt the Service or servers connected to the Service

We reserve the right to suspend or terminate your account for violations of these terms.

7. AI-Powered Features

The Service includes features powered by artificial intelligence, including but not limited to:

  • AI Assistant: A conversational assistant that can answer questions, create records, and perform actions within your account
  • Meeting Recorder: Audio recording with AI-powered transcription (Deepgram) and summarization (Anthropic Claude)
  • Document Parsing: AI extraction of structured data from loss runs, equipment schedules, and other documents

Limitations: AI features are tools to assist your work, not replacements for professional judgment. AI-generated content (summaries, action items, parsed data) may contain errors. You are responsible for reviewing and verifying all AI-generated output before relying on it for business decisions, client communications, or regulatory submissions.

Data Processing: Content processed by AI features is sent to third-party AI providers (Anthropic, Deepgram) under their respective API terms. We do not authorize these providers to use your data for model training. Audio processed by Deepgram is discarded after transcription.

8. Electronic Signatures

The Service includes electronic signature functionality. By using this feature:

  • You acknowledge that electronic signatures created through the Service are legally binding under the ESIGN Act (15 U.S.C. § 7001) and the Uniform Electronic Transactions Act (UETA)
  • You are responsible for obtaining proper consent from signers before sending documents for signature
  • Each signature event is logged with timestamp, IP address, and document hash (SHA-256) for audit trail purposes
  • We do not provide legal advice regarding the enforceability of electronic signatures in specific jurisdictions or for specific document types

9. Phone System & Communications

The Service includes a built-in phone system powered by Twilio:

  • You are responsible for compliance with all applicable telecommunications laws, including the Telephone Consumer Protection Act (TCPA)
  • Call recordings are your responsibility to disclose in accordance with applicable state and federal laws (one-party vs. two-party consent states)
  • Phone numbers purchased through the Service are provisioned through Twilio and subject to Twilio's Acceptable Use Policy
  • SMS messaging is subject to carrier filtering and deliverability is not guaranteed

SMS Messaging Terms:

  • By using the SMS features, you agree to send messages only to individuals who have consented to receive them. Consent is obtained when a client, lead, or prospect provides their phone number during the course of the insurance business relationship.
  • You agree to honor all opt-out requests. When an end user replies STOP, they must be immediately removed from future SMS communications.
  • You agree to respond to HELP requests with support contact information.
  • You must not use the SMS features to send unsolicited messages, spam, or messages unrelated to the insurance business relationship.
  • Message and data rates may apply to end users. You should inform your clients that standard messaging rates from their carrier may apply.
  • Message frequency varies based on account activity. Typical usage is up to 10 messages per month per recipient.
  • SMS messages are sent via Twilio and are subject to carrier network availability. We do not guarantee delivery of SMS messages.
  • Phone numbers and SMS opt-in/opt-out data are not shared with third parties for marketing purposes.
  • You are responsible for complying with US A2P 10DLC registration requirements and all applicable carrier regulations for business SMS messaging.

10. Discovery Forms & Client Portal

When you send discovery form links to prospects:

  • You are responsible for ensuring you have a legitimate business reason to collect the requested information
  • The prospect's submitted data becomes part of Your Data within the platform
  • Discovery form links expire after the configured period (default 7 days)
  • Phone verification is used to confirm the prospect's identity before form access

11. Third-Party Integrations

The Service may integrate with third-party services (QuickBooks, carrier portals, etc.). These integrations are governed by the respective third party's terms of service. We are not responsible for the availability, accuracy, or security of third-party services. You authorize us to transmit data to and from connected third-party services as necessary to provide the integration.

12. Intellectual Property

Our Property: The Service, including its software, design, features, documentation, and branding, is owned by Ayubzai Business Solutions LLC and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or proprietary technology.

Feedback: If you provide suggestions, feature requests, or other feedback about the Service, you grant us an unrestricted, perpetual, irrevocable license to use that feedback for any purpose without compensation.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • AI-generated content will be accurate, complete, or suitable for any particular purpose
  • The Service will meet all regulatory requirements applicable to your specific business
  • Data will never be lost (though we implement standard backup and recovery procedures)

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AYUBZAI BUSINESS SOLUTIONS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

15. Indemnification

You agree to indemnify, defend, and hold harmless Ayubzai Business Solutions LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any data or content you submit through the Service
  • Your use of electronic signatures, phone system, or AI features

16. Termination

By You: You may terminate your account at any time by canceling your subscription and contacting support@insurstein.com.

By Us: We may suspend or terminate your account immediately if you violate these Terms, fail to pay subscription fees after the grace period, or engage in conduct that we reasonably believe is harmful to the Service or other users.

Effect of Termination: Upon termination, your right to use the Service ceases immediately. We will retain Your Data for 30 days to allow for export, after which it will be permanently deleted (except where retention is required by law).

Survival: Sections 5 (Your Data), 12 (Intellectual Property), 13 (Disclaimer), 14 (Limitation of Liability), 15 (Indemnification), and 18 (Governing Law) survive termination.

17. Security Incidents

In the event of a confirmed security breach that affects Your Data, we will:

  • Notify affected users by email within 72 hours of confirmation
  • Provide details about what data was affected and what steps we are taking
  • Cooperate with law enforcement and regulatory authorities as required
  • Implement remediation measures to prevent recurrence

To report a security vulnerability, contact us at security@insurstein.com. We will acknowledge reports within 48 hours and provide a fix timeline within 5 business days.

18. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the app at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your account.

19. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Nebraska, United States, without regard to its conflict of law provisions.

Any disputes arising out of or related to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in Lancaster County, Nebraska.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against us.

20. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights without restriction.
  • Force Majeure: We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, government actions, or internet service provider failures.
